Article I – Name and Purpose

Section 1: Name

The name of the organization shall be the Minnesota Bowhunters (hereinafter referred to as the "MNBOW").

Section 2: Purpose

The mission of the Minnesota Bowhunters is to build a strong community of bowhunters and archery enthusiasts, protect and promote the tradition and rights of bowhunting, and empower our members to shape the future of our sport. We are dedicated to supporting youth archery education and fostering a lifelong passion for archery while ensuring ethical practices and upholding the values that define our heritage.

Article II – Membership

Section 1: Membership Eligibility

Membership in the Minnesota Bowhunters is open to individuals who support the mission of  MNBOW and are passionate about bowhunting and archery. Prospective members must meet the following requirements:

• Agree to abide by the MNBOW’s code of ethics and conduct, which includes respect for wildlife, adherence to hunting laws, and ethical hunting practices.

• Submit the required annual membership dues, as determined by the Board of Directors.

• Maintain conduct that aligns with the MNBOW’s mission and values.

Section 2: Termination of Membership

Membership may be revoked at the discretion of the Board of Directors for the following:

• Violation of the MNBOW's code of ethics or conduct.

• Behavior or any action that is detrimental to the mission, values, or interests of MNBOW.

Section 3: Voting Rights

Members shall vote on select MNBOW matters once the membership size reaches a minimum of 300 active members.

Article III – Governance Structure

Section 1: Governance Overview

The Minnesota Bowhunters shall be governed by a Board of Directors, consisting of Governing Directors and Advisory Directors, to oversee the MNBOW's operations and decision-making processes.

Section 2: Governing Directors

• The Governing Directors shall manage the day-to-day operations of MNBOW and ensure the fulfillment of its mission.

• Governing Directors have the authority to propose and implement policies and strategies for MNBOW.

• They shall convene meetings, oversee the implementation of programs, and manage financial and membership matters.

Section 3: Advisory Directors

• The Advisory Directors shall provide counsel and support to the Governing Directors as needed.

• They bring expertise and advice on issues relevant to MNBOW goals, strategy, and practices.

• Advisory Directors play an essential role in advising on matters brought forward by the Governing Directors.

Section 4: Decision-Making and Voting

• The Governing Directors shall propose policies and actions for a vote, in which both Governing Directors and Advisory Directors will participate.

• Each Director, whether governing or advisory, shall have an equal vote in matters requiring Board decisions.

• Membership votes will supplement decisions once MNBOW has a minimum of 300 active members, reflecting the community's voice in key matters.

Article IV – Dues and Financial Matters

Section 1: Membership Dues

• The annual dues for membership shall be determined by the Board of Directors.

• Payment of dues is a condition of membership.

Section 2: Financial Oversight

• The Governing Directors shall manage the financial operations of MNBOW, including budgets, expenditures, and fundraising initiatives.

• An annual financial report will be shared with the membership.

Article V – Code of Ethics and Conduct

Section 1: Respect for Wildlife

Members shall demonstrate respect for all wildlife, ensuring ethical hunting and archery practices.

Section 2: Adherence to Laws

Members must comply with all local, state, and federal hunting and archery regulations.

Section 3: Conduct of Members

All members must uphold behavior that reflects positively on MNBOW, its mission, and its values, both during MNBOW activities and in the broader community.

Article VI – Meetings

Section 1: Board Meetings

The Board of Directors shall meet regularly to discuss and oversee operations, with meetings scheduled at least quarterly.

Section 2: Membership Meetings

MNBOW may convene virtual membership meetings to share updates, gather feedback, and discuss the future direction of the organization.

Article VII – Amendments

Section 1: Amendments to Bylaws

Proposals to amend these Bylaws may be initiated by the Board of Directors or by a membership petition signed by at least 75% of active members once membership reaches Director Established Goals. Amendments require approval via Board vote and, once applicable, membership input through a vote.

Article VIII – Dissolution

Section 1: Dissolution Process

Upon the dissolution of the Minnesota Bowhunters, all remaining assets shall be distributed to a nonprofit organization with a similar mission, as determined by the Board of Directors.
